Welcome to Kumi. These Terms of Service ("Terms") govern your access to and use of the Kumi website, mobile application, and services (collectively, the "Service") provided by Kumiai Inc. ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have permission from a parent or legal guardian to use the Service.

By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms and that your use of the Service complies with all applicable laws and regulations.

To access certain features of the Service, you must create an account. You agree to:

4.2 Payment Terms

• All applicable fees will be billed in advance and processed by third-party payment processors
• We do not store or process full payment card information on our servers
• Subscriptions automatically renew unless canceled before the end of the billing period
• You authorize us to charge your selected payment method for recurring fees
• Subscription prices may change with at least 30 days' notice to active subscribers

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period.

Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or unused features.

5.1 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

5.2 Restrictions

You agree not to:

• Copy, modify, distribute, sell, or create derivative works from the Service
• Reverse engineer, decompile, or attempt to extract source code from any part of the Service

You retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and display your User Content solely for the purpose of operating, improving, and providing the Service.

You represent and warrant that you have all rights necessary to grant this license.

The Service may include content or links provided by third parties. We do not control, endorse, or assume responsibility for third-party content and are not liable for any claims arising from its use.

8.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from harmful components.

8.2 Educational Purpose

Kumi is an educational tool intended to support Japanese language learning. We do not guarantee specific outcomes, proficiency levels, or test results. Learning outcomes depend on individual effort, usage patterns, and external factors beyond our control.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUMIAI INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Kumiai Inc. and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of applicable laws or third-party rights
• Your User Content

We may suspend or terminate your access to the Service at any time, with or without notice, for reasons including:

• Violation of these Terms
• Fraudulent, abusive, or unlawful behavior
• Security or operational concerns
• Discontinuation of the Service

Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination will remain in effect.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without liability.

11.2 Terms Changes

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association.

The arbitration shall take place in Delaware. You waive the right to a jury trial and to participate in class or representative actions.

12.3 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kumiai Inc.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights without restriction.
